Or select the top one and choose 'Merge Down'. That's the easiest method
in pre-CS2 versions.

Do you mean combine the layers into one? If so, you can hilight both
layers (in CS2) and choose the Merge command from the Layers palette
flyout menu, or link the layers and choose Merge Linked from the Layers
flyout menu.
